Terms of Service

Company-wide terms for using UNPROTON Labs software products and services.

Acceptance of Terms

These Terms of Service govern your access to and use of UNPROTON Labs products, including Explainly, InvoiceKit, PDFStamper, the UNPROTON Labs website, support services, and related software.

By using our products, creating an account, activating a license, or purchasing paid access, you agree to these terms. If you do not agree, do not use the products.

License Grants

UNPROTON Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and use our software for your personal or business workflows, subject to these terms and any product-specific purchase or license limits.

You may not copy, resell, sublicense, share license keys, reverse engineer, decompile, disassemble, or redistribute the software except where applicable law expressly permits it. Unless a separate plan states otherwise, paid licenses are for a single user and may not be transferred or assigned.

Accounts and License Validation

Some products or features may require an account, license key, transaction record, installation identifier, or activation check. You are responsible for keeping account credentials and license information secure.

We may suspend or disable access where we reasonably believe a license is fraudulent, shared beyond permitted use, refunded, abused, or obtained through unauthorized means.

Acceptable Use

You agree not to use UNPROTON Labs products to violate law, infringe rights, generate fraudulent documents, process content you are not authorized to use, interfere with service security, bypass license controls, overload infrastructure, or misuse AI, document, billing, or productivity workflows.

You are responsible for the documents, prompts, invoice data, PDF files, outputs, and business decisions you create using the products.

Payment Terms

Paid products, licenses, upgrades, or subscriptions where offered may be processed by Paddle or another authorized payment provider. Paddle may act as Merchant of Record for purchases it processes. Prices, taxes, currencies, renewal terms, and payment methods may be shown at checkout.

UNPROTON Labs may change pricing or packaging over time. Changes do not affect completed purchases except where renewal or subscription terms clearly allow.

Refund Policy Reference

Refunds are handled under the UNPROTON Labs Refund Policy. In general, paid software products sold by UNPROTON Labs include a 30-day money-back guarantee, subject to fraud, abuse, payment processor rules, and applicable law.

Product-Specific Terms

Explainly

Explainly may use AI providers such as Gemini AI and Groq to generate explanations. AI output can be incomplete, inaccurate, or unsuitable for legal, medical, financial, or other high-stakes decisions. You are responsible for reviewing outputs before relying on them.

InvoiceKit

InvoiceKit helps generate invoices locally. Paid InvoiceKit licenses may be sold as one-time purchases where stated at checkout. While the product is actively maintained, a paid license may include updates to InvoiceKit itself, but separate major products are not included unless expressly stated. You are responsible for invoice accuracy, tax treatment, legal compliance, currency formatting, client information, and business records generated with the product. Documents generated by InvoiceKit are templates and do not constitute legal, tax, or accounting advice.

PDFStamper

PDFStamper helps stamp or watermark PDFs locally. You are responsible for having the right to modify each document and for reviewing the final PDF before distribution.

Intellectual Property

UNPROTON Labs, the UNPROTON name, product names, software, interfaces, code, visual design, trademarks, and related materials are owned by UNPROTON Labs or its licensors. These terms do not transfer ownership to you.

You retain ownership of your own documents, invoice data, PDF files, prompts, and business content, subject to the rights needed for the product to process what you ask it to process.

Warranty Disclaimer

UNPROTON Labs products are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted operation, error-free output, compatibility with every environment, or suitability for every business purpose.

Limitation of Liability

To the fullest extent permitted by law, UNPROTON Labs will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for loss of data, business interruption, incorrect outputs, or decisions made using the products.

Where liability cannot be excluded, it is limited to the amount you paid for the relevant product or service during the period allowed by applicable law.

Governing Law

These terms are governed by the laws applicable to the jurisdiction where UNPROTON Labs is legally established, unless mandatory consumer protection laws in your location require otherwise. Disputes should first be raised by contacting support@unproton.com so we can attempt a practical resolution.

Changes to Terms

We may update these terms from time to time. Continued use of UNPROTON Labs products after changes take effect constitutes acceptance of the revised terms.
